Terms of Service
These Terms of Service (the "Terms") govern your access to and use of the Adrian's Selection services platform, including any related websites, subdomains, dashboards, forms, communications, certificates, sourcing workflows, authentication request tools, and associated services (collectively, the "Services").
These Terms form a legally binding agreement between you and Black Stag Kft ("Adrian's Selection," "we," "us," or "our"), a company organized under the laws of Hungary, with its registered office at 8636 Balatonszemes, Kinizsi utca 13., tax number 32550717-2-14.
By accessing or using the Services, submitting a request, creating an account, purchasing an activation, ordering an authentication review, downloading a certificate, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Services.
1. Scope of Services
Adrian's Selection provides premium luxury-related services, which may include, without limitation:
- Authentication Services for selected luxury items based on materials and information submitted by the user.
- Private Sourcing Services for bespoke, custom, or hard-to-find luxury product requests.
- Certificates, summaries, reports, or digital deliverables related to eligible services.
- Account, dashboard, and request management features for users of the Services.
- Support, messaging, status updates, and related communications connected to service requests.
The Services are not a public marketplace, auction platform, consumer forum, appraisal platform, or financial advisory service. We reserve the right to modify, suspend, restrict, or discontinue any part of the Services at any time.
2. Eligibility
You may use the Services only if:
- you are at least 18 years old, or the age of legal majority in your jurisdiction,
- you have the legal capacity to enter into a binding agreement,
- your use of the Services does not violate any applicable law, regulation, sanction, court order, or contractual restriction,
- you provide accurate, current, and complete information when requested.
If you use the Services on behalf of a company, entity, or other person, you represent and warrant that you are authorized to bind that party to these Terms.
3. Account Registration and Access
Certain features of the Services may require you to create an account or log in using approved authentication methods.
You are responsible for:
- maintaining the confidentiality of your login credentials,
- restricting access to your account and devices,
- ensuring that all information associated with your account remains accurate,
- all activity occurring under your account, whether authorized by you or not, unless caused solely by our gross negligence or willful misconduct.
You must notify us promptly if you suspect unauthorized access, security compromise, or misuse of your account.
We may suspend, restrict, or terminate access to your account if we reasonably believe that:
- the account is being used unlawfully,
- the account information is misleading or false,
- the Services are being abused,
- the account creates legal, reputational, operational, or security risk.
4. Service Categories
4.1 Authentication Services
Authentication Services allow users to submit existing luxury items for review.
The process may include:
- submission of item details,
- upload of required and optional images,
- provision of source or seller information,
- expert review based on the submitted materials,
- requests for additional images or information,
- delivery of a result, summary, certificate, or related outcome, depending on the purchased service option.
Authentication Services are performed based on the information and materials made available to us by the user. We may request additional materials where necessary, but we are under no obligation to issue a result where the submitted materials are incomplete, unclear, inconsistent, or insufficient.
4.2 Private Sourcing Services
Private Sourcing Services allow users to submit requests for luxury items they wish to locate, source, reserve, or procure.
The process may include:
- submission of a sourcing brief,
- internal request review,
- eligibility review,
- purchase of a sourcing activation,
- active sourcing efforts,
- proposal, quotation, update, or sourcing outcome,
- completion, closure, or cancellation of the request.
Submission of an initial sourcing brief may be free of charge. However, the sourcing process does not begin unless and until the relevant activation product has been purchased and confirmed.
A submitted sourcing brief does not guarantee that a requested item can be found, reserved, procured, or purchased.
5. Authentication Services: Important Limitations and Disclaimers
5.1 Image Based Review
Unless expressly stated otherwise in writing, Authentication Services are based on photographs, data, and documentation submitted by the user. Accordingly:
- the accuracy and completeness of the review depends materially on the quality and completeness of the submitted materials,
- physical inspection is not included unless explicitly agreed in writing,
- missing, edited, low-quality, cropped, misleading, or inaccurate materials may affect the review,
- we may decline, delay, limit, or mark a result as inconclusive if we do not have sufficient basis to proceed confidently.
5.2 No Guarantee of Universal Certainty
Luxury item authentication can involve uncertainty. Certain items may be altered, repaired, refinished, reconstructed, modified, incomplete, counterfeit, or impossible to evaluate conclusively from submitted materials alone.
For this reason, results may include, where applicable, categories such as:
- Authenticated,
- Likely Authentic,
- Inconclusive,
- Unable to Authenticate,
- Likely Inauthentic,
- or similar wording.
Any terminology used is intended to reflect our professional assessment based on the materials submitted and the scope of the applicable service. It is not a promise of universal or absolute certainty in all contexts.
5.3 No Third Party Brand Endorsement, Authorization, or Sponsorship
Authentication, verification, certificate, and related review services made available through Adrian's Selection are independent services based on expert assessment and opinion.
Unless expressly stated otherwise in a separate written agreement signed by Adrian's Selection, we are not affiliated with, endorsed by, sponsored by, approved by, partnered with, or authorized by any brand owner, trademark owner, manufacturer, fashion house, maison, retailer, distributor, or intellectual property rightsholder referenced on the Services or in connection with a submitted item.
Any brand names, model names, product names, logos, trade dress references, marks, or other identifiers appearing within the Services are used solely for nominative, descriptive, referential, comparative, or informational purposes, including to identify the item submitted for review, describe the subject of a request, or communicate the result of a service.
All trademarks, service marks, logos, design marks, trade names, product names, and other intellectual property rights referenced in connection with third party brands remain the exclusive property of their respective owners.
Nothing in the Services, including any result, certificate, report, sourcing update, item description, dashboard entry, or communication, shall be construed as:
- a statement that a third party brand has reviewed, approved, or accepted our assessment,
- a statement that Adrian's Selection is an official authentication partner of any brand,
- a grant of authority from any brand owner,
- an endorsement, sponsorship, certification, or co-branding relationship,
- permission to use any third party intellectual property except as allowed by law.
You agree not to mischaracterize Adrian's Selection, any certificate, or any service result as being issued, approved, backed, or guaranteed by the relevant brand owner unless such relationship is expressly and lawfully stated in writing.
5.4 Certificates and Reports
Where available, a certificate, report, summary, or other deliverable may be issued as part of the relevant service option.
Any certificate, summary, or report:
- is issued solely for the specific request,
- is based on the submitted materials and information available at the time of review,
- may be revoked, corrected, suspended, replaced, or amended if we later discover inaccuracies, manipulation, omitted facts, contradictory evidence, fraud indicators, or misuse,
- must not be altered, cropped, edited, selectively presented, reproduced out of context, assigned, sold separately, or used in a misleading way.
A certificate does not constitute an insurance policy, valuation guarantee, title document, resale guarantee, legal opinion, customs clearance certificate, or investment recommendation.
You must not:
- present a certificate as if it were issued by a brand owner,
- remove disclaimers, identifiers, dates, QR references, or contextual wording,
- use a certificate in connection with a different item,
- alter screenshots or extracts to misstate the result,
- use a certificate to facilitate fraud or deceptive resale.
We reserve the right to invalidate, disable access to, or publicly mark a certificate as revoked where misuse, manipulation, or inconsistency is identified.
5.5 No Resale Guarantee
An authentication result or certificate does not guarantee that:
- a third party buyer will accept the item,
- a marketplace will permit listing,
- a payment provider will approve a transaction,
- a brand will service or repair the item,
- customs or border authorities will accept the item,
- any third party platform will honor, recognize, or rely on the result.
6. Private Sourcing Services: Important Limitations and Disclaimers
6.1 Nature of the Service
Private Sourcing is a bespoke concierge-style service. We may attempt to identify, locate, source, or facilitate access to requested items based on the information you provide and the options available to us.
However, we do not guarantee:
- item availability,
- successful sourcing,
- reservation success,
- a specific price,
- a particular country of origin,
- a specific boutique, seller, or retailer,
- a specific timeline,
- or the ability to complete any requested transaction.
6.2 Activation Requirement
You may be allowed to submit a sourcing brief without charge. However, active sourcing begins only after payment of the applicable activation product.
If your request is deemed ineligible, impractical, unlawful, abusive, incomplete, or outside our service scope, we may decline to activate or continue the request.
6.3 Standard and Priority Activation
We may offer more than one activation option, such as Standard Activation and Priority Activation. Unless expressly stated otherwise:
- both options reflect the same general sourcing standard,
- the difference relates to queue priority, handling priority, or expected speed,
- neither option guarantees successful sourcing or purchase.
6.4 Store Credit Linked to Activation
Where stated in the applicable service description, an activation amount may be credited back to the relevant customer account as Adrian's Selection store credit for use on the Adrian's Selection store.
Unless otherwise stated in writing:
- store credit is non-transferable,
- store credit is not redeemable for cash,
- store credit may be subject to validity periods, technical limitations, account matching requirements, store platform rules, and applicable law,
- store credit may require linkage to a matching customer account or verified email,
- store credit can be suspended, withheld, corrected, reversed, or revoked in the event of abuse, fraud, refund reversal, chargeback, duplicate issuance, error, misuse, or legal obligation,
- store credit has no independent cash value unless mandatory law requires otherwise,
- store credit may be denied or delayed until the relevant Shopify or store-linked customer identity has been successfully matched.
If a payment is refunded, reversed, charged back, or otherwise invalidated, any related store credit may be cancelled, clawed back, or reduced accordingly. Additional terms governing Shopify-linked or store-linked credit may apply.
6.5 No Purchase Obligation
We may present one or more sourcing proposals, leads, options, or availability updates. Unless otherwise stated in writing, you are not obligated to purchase a proposed item. Likewise, we are not obligated to continue indefinite sourcing efforts where no viable result is available.
6.6 No Agency or Fiduciary Relationship
Private Sourcing does not create a partnership, joint venture, fiduciary relationship, agency relationship, procurement mandate, or exclusive representation arrangement unless separately agreed in writing.
7. Fees, Pricing, Payments, and Taxes
7.1 Fees
Certain Services require payment. Fees may include, without limitation:
- authentication service fees,
- certificate-included service fees,
- priority handling fees,
- sourcing activation fees,
- other service-specific charges communicated before purchase.
All fees are presented in the applicable currency shown at checkout, unless otherwise specified.
7.2 Payment Authorization
By submitting payment information, you represent and warrant that:
- you are authorized to use the payment method,
- the payment information is accurate,
- you authorize us and our payment processors to charge the applicable amount,
- you understand that your payment may be subject to fraud checks, compliance checks, and third party processing rules.
7.3 Taxes
Fees may be exclusive or inclusive of taxes depending on the applicable checkout configuration, your jurisdiction, and legal requirements. You are responsible for any applicable taxes, duties, levies, bank fees, foreign exchange charges, or similar charges unless expressly stated otherwise.
7.4 Pricing Errors
We reserve the right to correct pricing, billing, tax, or product configuration errors at any time before final confirmation of service. If a material pricing error occurs, we may cancel or refuse the affected transaction and, where appropriate, refund the amount paid.
8. Refunds, Cancellations, and Chargebacks
8.1 General Rule
Due to the bespoke, digital, advisory, research-based, and service-oriented nature of the Services, payments are generally non-refundable once work has commenced, resources have been allocated, internal review has begun, or a digital deliverable has been prepared or made available, except where otherwise required by applicable mandatory law or expressly agreed by us in writing.
By purchasing a Service and requesting that we begin performance without delay, you acknowledge that:
- the Service may begin before any statutory withdrawal period has expired,
- internal review, analyst time, authentication assessment, sourcing preparation, account handling, and related digital processing may begin promptly after purchase or activation,
- the commencement of performance may reduce, limit, or extinguish cancellation or withdrawal rights to the extent permitted by applicable law.
8.2 Authentication Services
Authentication fees are generally non-refundable once any of the following has occurred:
- the request has been submitted and accepted for review,
- item data, images, or documents have entered the review queue,
- an analyst, reviewer, or expert has opened, assessed, classified, compared, or processed the file,
- additional review or internal assessment has commenced,
- a result, report, certificate, summary, or draft deliverable has been prepared, generated, or issued,
- follow-up handling, clarification, or quality control has begun.
A refund is not available merely because:
- you disagree with the outcome,
- the outcome is inconclusive,
- a third party platform, buyer, or brand does not accept the result,
- you no longer wish to use the result,
- you later locate additional information that was not provided during the original review,
- the item has lower resale value than expected.
8.3 Private Sourcing Activation
Sourcing activation payments are generally non-refundable once any of the following has occurred:
- the activation has been completed,
- the request has entered the sourcing workflow,
- internal sourcing preparation, review, qualification, or routing has begun,
- sourcing outreach, research, market checking, lead review, or internal handling has begun,
- priority handling has been allocated,
- store credit has been issued, reserved, queued, or prepared in connection with the activation.
A refund is not available merely because:
- you decide not to proceed,
- the requested item cannot be found,
- the available item does not match your preferred price,
- the market price is higher than expected,
- timing is no longer suitable for you,
- you purchase the item elsewhere.
8.4 Consumer Rights
If you are a consumer located in a jurisdiction providing mandatory cancellation, withdrawal, or refund rights, those rights remain unaffected to the extent they cannot lawfully be excluded.
Where permitted by applicable law, by requesting immediate commencement of digital or service-based performance, you acknowledge that statutory withdrawal rights may be lost or limited once performance begins.
Nothing in these Terms is intended to exclude mandatory consumer protections that cannot be lawfully waived.
8.5 Chargebacks
You agree not to initiate unjustified chargebacks, reversals, payment disputes, or similar payment recovery actions. If you do so, we may, to the extent permitted by law:
- suspend or terminate your account,
- pause or cancel active requests,
- revoke certificates, reports, or service benefits,
- reverse, suspend, or cancel any associated store credit,
- refuse future service,
- submit evidence and communications to payment processors, banks, or platforms,
- pursue lawful recovery of the disputed amount, administrative costs, collection costs, and reasonable legal fees.
A payment dispute does not relieve you of your obligations under these Terms where the dispute is unfounded.
9. User Responsibilities and Acceptable Use
You agree to use the Services lawfully, honestly, and in good faith.
You must not:
- submit false, manipulated, stolen, misleading, or unlawful information,
- upload images or content that you do not have the right to use,
- submit counterfeit items while misrepresenting your intent,
- use the Services to facilitate fraud, infringement, money laundering, sanctions evasion, or unlawful commerce,
- impersonate another person or entity,
- interfere with the Services, security, or infrastructure,
- attempt to scrape, reverse engineer, clone, or automate misuse of the platform,
- reproduce or resell our certificates, reports, workflows, methods, or content without permission,
- use the Services in a way that harms Adrian's Selection, our users, counterparties, suppliers, or reputation.
We may investigate suspected misuse and take appropriate action, including suspension, refusal of service, cancellation, revocation of deliverables, reporting to authorities, and legal action.
10. User Content and Submission Materials
10.1 Ownership
You retain ownership of the materials you submit, including photographs, text, documents, and supporting information (User Content), subject to the rights granted below.
10.2 License to Adrian's Selection
You grant Adrian's Selection a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, analyze, display internally, and use your User Content as reasonably necessary to:
- provide the Services,
- review and process requests,
- communicate with you,
- generate results, certificates, or reports,
- detect abuse, fraud, or security risks,
- comply with legal obligations,
- improve operational quality on an internal basis.
We will not sell your User Content as standalone content. Any personal data contained in User Content will be handled in accordance with our Privacy Policy.
10.3 Your Warranties
You represent and warrant that:
- you have all rights necessary to submit the User Content,
- the User Content is accurate to the best of your knowledge,
- the User Content does not infringe the rights of any third party,
- the User Content is not defamatory, unlawful, deceptive, malicious, or otherwise improper.
11. Timelines, Turnaround, and Service Levels
Any stated turnaround, timing, priority queue indication, or estimated completion window is an estimate only, unless expressly guaranteed in writing.
Delays may result from, among other things:
- incomplete or low-quality submissions,
- requests for additional materials,
- complex review requirements,
- high service volume,
- legal or compliance review,
- payment issues,
- technical outages,
- third party dependencies,
- sourcing complexity or market conditions.
We are not liable for delays caused by factors outside our reasonable control.
12. Communications
By using the Services, you consent to receive service-related communications from us, including by email, account notification, or other contact method provided by you.
Such communications may include:
- confirmation emails,
- status updates,
- requests for additional information,
- payment or activation notices,
- dashboard notifications,
- certificate availability notices,
- support messages,
- legal or policy updates.
You remain responsible for monitoring your email and account messages.
Marketing communications, if any, are subject to your separate preferences and applicable law.
13. Intellectual Property
All content, designs, workflows, text, graphics, branding, interfaces, certificates, visual presentation, software elements, databases, and underlying materials forming part of the Services, other than User Content, are owned by or licensed to Adrian's Selection and are protected by intellectual property laws.
Except as expressly permitted by law or in writing, you may not:
- reproduce,

- distribute,
- publicly display,
- create derivative works from,
- reverse engineer,
- commercially exploit,
- or otherwise use
any part of the Services or related materials without our prior written consent.
Brand names, logos, and trademarks of third parties remain the property of their respective owners.
14. Confidentiality and Discretion
Because the Services may involve high-value items, private sourcing, or sensitive ownership information, we aim to handle user interactions with appropriate discretion.
However, you acknowledge that:
- electronic systems are not absolutely secure,
- communications may involve third party providers,
- certain information may need to be shared with processors, platforms, logistics providers, consultants, or advisors as reasonably necessary to provide the Services or comply with law.
Any confidentiality obligations beyond ordinary service provision must be agreed separately in writing.

- payment processors,
- hosting providers,
- cloud storage providers,
- e-commerce platforms,
- account authentication tools,
- messaging or notification providers,
- analytics or security providers,
- Shopify or other storefront systems.
We are not responsible for the independent acts, omissions, outages, policies, or decisions of third party providers, except to the extent required by law. Your use of third party systems may also be subject to their own terms and policies.
16. Availability and Platform Changes
We do not guarantee uninterrupted availability of the Services. We may perform maintenance, updates, design changes, feature changes, migrations, or system modifications at any time.

- migrate routes, dashboards, or subdomains.
17. Right to Refuse or Limit Service
We reserve the right, in our sole but reasonable discretion, to refuse, limit, suspend, pause, or terminate any request, account, certificate, store credit benefit, or user relationship where we believe that:
- the request is unlawful,
- the request falls outside our expertise or service scope,
- the request presents a fraud, sanctions, anti-money laundering, stolen goods, or compliance risk,
- the request involves abusive, threatening, discriminatory, or inappropriate behavior,
- the item, transaction, or source information is suspicious, inconsistent, or unverifiable,
- the submitted materials are insufficient, manipulated, misleading, or incomplete,
- a payment issue, chargeback risk, or account mismatch exists,
- performance would create disproportionate operational, legal, or reputational risk,
- the request appears to involve infringement, misappropriation, or illicit trade,

- additional documentation,
- additional images,
- legal or compliance review.
18. No Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Without limiting the foregoing, we shall not be liable for:

provided that nothing in this clause shall increase liability where no liability would otherwise exist.
All claims arising out of or relating to the Services must be brought within one (1) year after the event giving rise to the claim, unless a longer period is required by mandatory law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or personal injury caused by negligence where mandatory law so provides.
20. Indemnification
You agree to indemnify, defend, and hold harmless Adrian's Selection, Black Stag Kft, and their directors, officers, employees, contractors, consultants, and affiliates from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

You may cease using the Services at any time. Termination does not affect:
- accrued rights,
- payment obligations,
- provisions that by nature should survive termination,
- certificates or results already issued,
- rights to investigate misuse or recover outstanding amounts.
Sections relating to payments, intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution shall survive termination.

If you are a consumer resident in a jurisdiction with mandatory consumer protection laws, nothing in these Terms deprives you of protections that cannot lawfully be waived.
24. Dispute Resolution and Jurisdiction
Any dispute, controversy, or claim arising out of or in connection with these Terms or the Services shall first be addressed through good-faith efforts to resolve the matter informally.
If the matter cannot be resolved informally, the dispute shall be submitted to the competent courts of Hungary, unless mandatory consumer law requires otherwise.
Where lawful and applicable, the courts having jurisdiction over the registered seat of Black Stag Kft shall have exclusive jurisdiction.

Any failure by us to enforce a provision of these Terms shall not constitute a waiver of that provision or any other rights.
